These Terms of Use ("Terms") govern your use of specialisthq.com and any pages that link to these Terms (the "Site"). By using the Site, you agree to these Terms.

We provide information about our services for agencies. If you start an engagement with us, that work is governed by a separate Master Services Agreement and/or Statement of Work, not these Terms.

1) Who may use the Site

• You must be at least 18 and use the Site for business purposes.
• If you use the Site on behalf of an organization, you confirm you have authority to accept these Terms for that organization.

2) Changes to the Site or these Terms

We may update the Site or these Terms at any time. If we change the Terms, we will update the date at the top. Your continued use means you accept the new Terms.

3) Privacy

Our Privacy Policy explains how we handle personal information. By using the Site, you agree to our Privacy Policy.

4) Content on the Site

The Site may include pricing, service descriptions, articles, and other materials ("Content").

• Content is for general information. It may not be complete or up to date.
• We may change, remove, or correct Content without notice.
• Nothing on the Site is legal, financial, or professional advice.

5) Acceptable use

Do not:

• Break the law or violate others' rights.
• Try to access areas of the Site you are not allowed to use.
• Interfere with the Site's normal operation.

8) No warranties

We make no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not guarantee the Site will be error-free or uninterrupted.

9) Limitation of liability

To the fullest extent allowed by law:

• We will not be liable for any indirect, incidental, special, consequential, or punitive damages; lost profits; lost data; or business interruption arising from or related to your use of the Site.
• Our total liability for any claim related to the Site will not exceed USD $100.

Some places do not allow limits like these. If the law where you live does not allow a limit, the limit will apply to the maximum allowed.

You agree to defend, indemnify, and hold us harmless from any claims, damages, losses, and costs (including reasonable legal fees) arising from:

• your violation of these Terms, or
• your violation of any law or third-party right.

We may suspend or end your access to the Site at any time, with or without notice, for any reason. Sections that by their nature should survive (e.g., Intellectual Property, No Warranties, Limitation of Liability, Indemnity, Governing Law) will survive termination.

12) Governing law and venue

These Terms are governed by the laws of Idaho, USA, without regard to conflicts of law rules.

Courts located in Jefferson County, Idaho, USA will have exclusive jurisdiction for disputes arising from these Terms or the Site.

13) Export and compliance

You promise not to use the Site in a country or in a way that violates export controls, sanctions, or other applicable laws.

14) Copyright complaints

If you believe content on the Site infringes your copyright, contact us at [email protected] with:

• (a) your contact details,
• (b) a description of the work,
• (c) where it appears on the Site, and
• (d) your statement under penalty of perjury that you own the work or are authorized to act for the owner.

15) Entire agreement

These Terms are the entire agreement between you and us regarding the Site. They do not change any service agreement you may sign with us.

16) Severability; waiver; assignment

If a court finds part of these Terms invalid, the rest will still apply. Our failure to enforce a right is not a waiver. You may not assign your rights under these Terms without our consent. We may assign our rights as part of a merger, sale, or other change in control.
